TERMS & CONDITIONS (NEW PRODUCTS, SERVICES & SURVEYS)
- Payment Milestones & Anti-Withholding:
- Below ₹25,000: 0% Advance | 100% immediate payment on delivery/completion. No physical procurement meetings; all discussions strictly via WhatsApp/Email/Phone.
- ₹25,000 to ₹1,00,000: 50% Advance | 50% immediate payment on delivery/completion.
- Above ₹1,00,000: 50% Advance | 40% on material delivery | 10% on final completion.
- No Withholding: Outstanding balances cannot be withheld for isolated component faults, single-camera glitches, minor software adjustments, or unapproved trial periods. Post-handover stabilization will be managed under warranty.
- MSME Compliance & Penalties: Max 45 days payment timeline. Delays attract statutory interest compounded monthly at 3x the RBI bank rate (MSME Act, 2006) plus a contractual default penalty of 5% to 50% of the outstanding balance.
- Title & Material Safety: Absolute ownership of equipment remains with BSIT until 100% full payment. Upon on-site delivery, physical safety against theft, fire, or damage is the client’s sole responsibility.
- Procurement & Network Force Majeure: Work/procurement starts strictly after advance clearance, never on verbal assurances. If installation is delayed greater than 30 days due to site unreadiness, hardware will be invoiced and must be paid independently. BSIT is not liable for remote connectivity drops caused by third-party ISP outages, router resets, power failures, or SIM card downtime.
- Site Readiness, Height & Staff Safety: Buyer must provide stable power, internet, and site entry. Extra civil/cabling work is billed extra. Ladders/scaffolding for heights above 10ft must be provided by the buyer. BSIT has zero tolerance for verbal abuse or harassment; staff will be immediately withdrawn without any project default liability.
- Premises Supervision & Consequential Loss Waiver: Clients must supervise their property during execution; BSIT is not liable for pre-existing vulnerabilities or lost valuables. BSIT is not financially or legally liable for consequential losses, business interruptions, or thefts due to temporary system downtime. Liability is strictly restricted to active warranty terms.
- Data, Cybersecurity & Password Liability: Post-handover, credential safekeeping, data backups, hard disk storage failures, and Cybersecurity breaches/leaks are the client’s sole responsibility.
- Proprietary Rights & Logo Usage: Custom programming, source codes, and automation configurations remain BSIT’s exclusive intellectual property. The client grants BSIT the right to display their corporate name/logo on www.baliasecurity.com under “Client List / Portfolio” upon successful delivery.
- Software Maintenance: Future technical bugs due to third-party OS upgrades (e.g., Windows updates), local network changes, or client-side virus infections post-handover are treated as out-of-warranty and billed as paid support.
- Taxes & Validity: All quoted prices are strictly exclusive of GST (levied extra). Quotations are valid for exactly 5 days from issue.
- Technical Surveys, Support & AMC Rules:
- Visit Charges: Fixed fee of ₹1,000 + GST (1 Engineer) or ₹1,500 + GST (2 Engineers) for surveys, basic repairs, training, or testing. 100% refundable/adjusted if the project is confirmed.
- Mandatory Order Visit: If an engineer visits for verification and the client cancels/postpones, standard visit charges are legally binding. Glitch resolution does not grant the right to withhold commercial payments.
- Remote & Product Training: Remote support (AnyDesk/TeamViewer) is prioritized. Forcing an on-site visit for remote-fixable issues, product unfamiliarity, or user errors will be billed strictly under standard visit charges.
- AMC Suspension: AMC is payable upfront or within 15 days of signing. Failure to pay instantly suspends all on-site and remote support without extending the contract expiration date. Client remains liable for full annual contract value.
- Post-Expiration: After warranty/AMC expiration, BSIT has no technical liability. No free services (‘No Free Seva’) will be rendered. Subsequent support is 100% billable at standard engineer visit fees and component repair rates.
- BALIA SECURE AI Quality Protocol & Warranty: Products feature an engineered lifespan up to 10 years, with a 2 to 5-year hardware warranty.
- Warranty vs. Service: Hardware warranty covers carry-in part repair/replacement only. If free on-site service expires (e.g., after Year 1), subsequent technician transit and on-site labor are strictly chargeable (₹1,000 to ₹1,500 + GST).
- Authorized Intervention Only: Breaking seals, self-repair attempts, or third-party technician intervention instantly voids the remaining warranty.
- Start Date & Standby: Warranty commences from the material delivery or invoice date, not installation. Standby units during repairs are subject to stock availability and not guaranteed.
- Exclusions: Physical damage, high-voltage burning, rat-bites, and natural disasters are strictly excluded (Full details: baliasecurity.com/bsit-services/).
- Dispute Resolution & Jurisdiction: Before filing any formal legal or consumer court complaint, the client must submit their grievance in writing for a mandatory 30-day amicable good-faith negotiation window. All unresolved matters are strictly subject to Mumbai Jurisdiction only.
